Hilton will move its stock listing from the New York Stock Exchange to Nasdaq. The company announced the transfer on 20 October and filed a Form 8-K with the Securities and Exchange Commission the same day.
Two dates
Hilton shares trade on the NYSE until market close on Wednesday 4 November 2026. Nasdaq trading starts at market open on Thursday 5 November.
The ticker stays HLT. Shareholders take no action.
The filing
The 8-K carries Item 3.01, notice of a transfer of listing. It records that Hilton, acting under board authorisation, told the NYSE on 20 October that it would withdraw its principal listing and move it to Nasdaq.
Item 7.01 attaches the press release as Exhibit 99.1. Item 9.01 lists the exhibits. The registrant is Hilton Worldwide Holdings Inc., a Delaware company at 7930 Jones Branch Drive, McLean, Virginia.
The reason in Hilton's words
Chris Nassetta, president and chief executive, said Nasdaq is closely aligned with the company's growth ambitions. He called the exchange the home of many of the world's most innovative companies and tied the move to the asset-light model, the brands and the commercial and technology platforms.
Adena Friedman, chair and chief executive of Nasdaq, said the exchange would support Hilton as it enters a new chapter.
The record beside the move
Hilton prints a table running from the 2013 Form S-1 to 30 June 2026. Brands go from 10 to 28. Properties from 4,080 to 9,453. Rooms from 671,926 to 1,384,842. Countries and territories from 90 to 144. Pipeline rooms from 185,699 to 541,300. Hilton Honors from 39 million members to 260 million. Luxury and lifestyle hotels from 47 to 1,200.
Hilton became the first hotel company listed on the NYSE in 1946. Blackstone held the company privately before its return to the exchange in 2013.
The release names AI trip planning, a rebuilt technology platform, personalised digital messaging and a new chief technology officer as the innovation record.
Hilton published no market capitalisation figure, share price or transfer cost.
