A hotel brand opens its cap table to the public
Soul Community Planet has launched a Regulation CF investment offering and put the campaign live at invest.scphotel.com. The Laguna Beach, Calif. company brands small-format coastal and nature hotels.
SCP filed a Form C with the U.S. Securities and Exchange Commission on 23 September 2026 and a Form C/A the next day.
The terms
The offering is for Class B common stock at $9.00 per share. The maximum offering amount is $2,000,002.50. The deadline is 25 April 2027. The company may accept oversubscription at its own discretion.
DealMaker Securities LLC runs the offering. The filing sets its pay at an 8.5 percent cash commission on securities sold, a one-time $47,500 setup fee and a $15,000 monthly fee. The investor page lists the same $9 share price and a $999 minimum investment.
Ken Cruse on the raise
"This investment offering marks a meaningful milestone for SCP, one that invites mindful travelers and values-aligned investors to become true partners in building the next generation of hospitality," said Ken Cruse, chief executive and founder of Soul Community Planet.
Cruse said the company has spent seven years refining the brand. "Now we are offering a limited opportunity for people who share our belief in traveling with intent to invest alongside us as we grow the SCP brand."
The portfolio and the plan
Ken and Pam Cruse founded the company. It brands hotels under three expressions: SCP WildFree, SCP Hotels and By SCP. The portfolio runs to 10 properties across California, Oregon, Hawaii, Colorado and Costa Rica, among them the Corcovado Wilderness Lodge, the SCP Mendocino Inn and Farm, the oceanfront SCP Hilo Hotel, Salishan Coastal Lodge and the Laguna Surf Lodge.
The company states a five-year plan of about $300 million in equity plus 50 percent leverage into more than 2,000 hotel rooms. Its offering page sets a smaller roadmap: 25 to 30 hotels and more than 1,500 keys by 2029 or 2030, with franchising from 2029.
The numbers on file
SCP reports preliminary second-quarter 2026 branded-hotel total revenue growth of 13.5 percent. It pairs that with a 4.8 percent figure it labels average U.S. hotel revenue-per-available-room growth for the major chains; the release's own footnote cites an STR measure of year-to-date U.S. industry RevPAR growth. The offering page states 12.9 percent year-to-date same-store RevPAR growth through the second quarter.
The SEC-filed financials describe the parent entity, which owns no hotels. That entity reported revenue of $2,853,990, up 4.3 percent from $2,736,051, and net income of $573,070 against a prior-year loss of $318,640. The 10 hotel-owning affiliates sit outside it.
SCP reports 333,800 trees planted with One Tree Planted through 31 July 2026 and more than 145,000 pounds of beach waste recovered through its Pristine Makai program with the Hawaii Wildlife Fund.
